Jillian is a business-minded corporate attorney with 15+ years of experience advising start-up, emerging growth, closely held, and mid-market companies on transactions, strategic growth initiatives, governance, and operational legal matters across the business lifecycle.
Jillian’s practice spans M&A, financings, commercial contracting, corporate governance, and day-to-day strategic counseling. She regularly represent founders, management teams, investors, and closely held businesses in acquisitions, divestitures, recapitalizations, and other strategic transactions, guiding deals from initial structuring and LOI through closing and post-closing integration. Jillian advises on transaction structure, negotiation strategy, purchase price and working capital mechanics, indemnification frameworks, governance and control issues, and practical risk management.
Jillian also serves as outside general counsel to professional partnerships and closely-held businesses, advising on ownership structures, partner admissions and departures, incentive and equity arrangements, succession planning, governance matters, operational issues, and complex stakeholder relationships. In addition, she negotiates a broad range of commercial agreements and strategic business relationships, helping clients align legal outcomes with business objectives in fast-moving environments.
Prior to joining the Firm, Jillian was a senior corporate associate with Hand Baldachin & Associates LLP, where she advised clients in the fashion & lifestyle and consumer product industries on a wide range of corporate matters. Jillian began her legal career at Schulte Roth & Zabel LLP (now McDermott Will & Schulte LLP), where she represented private equity funds and their portfolio companies in acquisitions and divestitures, leveraged buyouts, and equity financings.
Jillian is practical, collaborative, and solutions-oriented, with a focus on helping clients navigate complexity, manage risk thoughtfully, and execute efficiently while supporting long-term business goals.
